1. Introduction and Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and MMG Labs Ltd ("MMG Labs", "we", "us", or "our"), a company registered in England and Wales, with its registered address at 82A James Carter Road, Bury St. Edmunds, IP28 7DE, United Kingdom.

These Terms govern your access to and use of all mobile applications published by MMG Labs Ltd, including any content, functionality, services, subscriptions, and in-app purchases made available through those applications (collectively, the "Services").

By downloading, installing, accessing, or using any MMG Labs application, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not download, install, or use any MMG Labs application and should delete any copies already installed on your devices.

These Terms supplement, and should be read in conjunction with, Apple's standard Licensed Application End User Licence Agreement ("Standard EULA") available at https://www.apple.com/legal/internet-services/itunes/dev/stdeula/. In the event of any conflict between these Terms and the Standard EULA, these Terms shall prevail to the extent permitted by applicable law.

2. Definitions

In these Terms, the following definitions shall apply unless the context requires otherwise:

  • "App" or "Application" means any mobile software application developed, published, and distributed by MMG Labs Ltd through the Apple App Store, including all updates, upgrades, patches, and supplementary content delivered in connection with that application.
  • "Services" means the features, functionality, content, and any associated services provided by or through an App, including but not limited to subscription-based features, cloud synchronisation, and any web-based components that support the App's operation.
  • "Content" means all text, graphics, images, audio, video, data, software code, user interface designs, icons, layouts, and any other materials or intellectual property contained within or made available through an App.
  • "Subscription" means a recurring, auto-renewing purchase that grants the User access to premium features, content, or services within an App for a defined billing period (weekly, monthly, or annual, as applicable), subject to the terms set out in Section 4 of these Terms.
  • "In-App Purchase" means a one-time, non-recurring transaction made within an App to unlock additional features, content, or digital goods, processed through Apple's App Store payment system.
  • "User" means any individual who downloads, installs, accesses, or uses any App published by MMG Labs Ltd, whether or not they have made any purchases or hold an active Subscription.

3. Licence Grant

Subject to your compliance with these Terms, MMG Labs Ltd hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to download, install, and use our Apps on compatible Apple devices that you own or control, solely for your personal, non-commercial purposes.

Apps are licensed, not sold. This licence does not convey any ownership interest in or to any App, and no title to or ownership of any App or any copy thereof is transferred to you. All rights not expressly granted to you under these Terms are reserved by MMG Labs Ltd.

All intellectual property rights in and to the Apps, including but not limited to copyrights, trademarks, trade secrets, patents, and all other proprietary rights, remain the sole and exclusive property of MMG Labs Ltd. Nothing in these Terms shall be construed as granting you any right, title, or interest in any intellectual property owned by MMG Labs Ltd, except for the limited licence expressly set out in this Section.

This licence is effective until terminated. It will terminate automatically if you fail to comply with any term or condition of these Terms, and may also be terminated by MMG Labs at any time in accordance with Section 13 of these Terms.

4. Subscriptions and Auto-Renewal Terms

Certain Apps may offer Subscription-based access to premium features, content, or services. This Section sets out the terms governing all Subscriptions offered through MMG Labs Apps. Please read this Section carefully before purchasing a Subscription.

4.1 Subscription Billing and Auto-Renewal

Subscriptions automatically renew at the end of each billing period (weekly, monthly, or annual, as applicable to the Subscription you have purchased) unless you cancel the Subscription. Renewal will occur unless auto-renewal is turned off at least 24 hours before the end of the current billing period. If you do not cancel within this timeframe, your Subscription will automatically renew for an additional period of the same duration.

4.2 Charges and Payment

Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current billing period, at the Subscription price applicable at the time of renewal. The Subscription price and duration are clearly displayed at the point of purchase within the App. All payments are processed through Apple's App Store payment system; MMG Labs does not directly collect, process, or store any payment information.

4.3 Managing and Cancelling Subscriptions

You can manage your Subscriptions and turn off auto-renewal at any time through your Apple ID Account Settings on your device. To cancel a Subscription and prevent further charges, you must turn off auto-renewal at least 24 hours before the end of the current billing period. 4.4 Free Trials

Certain Subscriptions may include a free trial period. If a free trial is offered, the terms and duration of the trial will be disclosed at the point of purchase. Any unused portion of a free trial period will be forfeited when you purchase a Subscription to that App, and you will be charged the applicable Subscription price from that point forward.

4.5 Subscription Content and Services

The specific content, features, and services provided during a Subscription vary by App. For detailed information about what is included in a particular Subscription, please refer to the individual App description on the App Store and the in-app purchase information displayed at the point of purchase.

5. In-App Purchases

Certain Apps may offer one-time In-App Purchases to unlock additional features, content, or digital goods. All In-App Purchases are processed through Apple's App Store payment system and are subject to Apple's terms and conditions.

In-App Purchases are non-refundable except as required by applicable law. Once an In-App Purchase has been completed, it cannot be reversed, exchanged, or transferred. If you believe you are entitled to a refund for an In-App Purchase, you should direct your refund request to Apple in accordance with Apple's refund policy, as MMG Labs does not process payments or issue refunds directly. You can request a refund from Apple by visiting https://reportaproblem.apple.com.

6. Payment

All payments for Apps, Subscriptions, and In-App Purchases are processed exclusively through Apple's App Store payment system. MMG Labs does not directly collect, process, or have access to your payment card details, banking information, or any other financial data. All payment transactions are governed by Apple's terms of service and privacy policy.

Pricing for Apps, Subscriptions, and In-App Purchases may vary by region and currency, as determined by Apple's App Store pricing tiers. MMG Labs reserves the right to change the pricing of any App, Subscription, or In-App Purchase at any time. Any price changes to existing Subscriptions will be communicated to you in advance in accordance with Apple's policies, and you will have the opportunity to accept or decline the new pricing before it takes effect. Price changes will not affect the current billing period of an active Subscription.

7. User Conduct

By using any MMG Labs App, you agree to the following restrictions on your conduct. You must not:

  • Reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the source code, underlying algorithms, or data structures of any App or any part thereof, except to the extent that such restrictions are expressly prohibited by applicable law.
  • Modify, adapt, translate, create derivative works based on, or otherwise alter any App or any part thereof without the prior written consent of MMG Labs.
  • Copy, reproduce, distribute, publish, display, perform, or transmit any App or any Content contained within an App, in whole or in part, without the prior written consent of MMG Labs.
  • Use any App for any unlawful, fraudulent, malicious, or otherwise prohibited purpose, or in any manner that could damage, disable, overburden, or impair the functioning of the App or interfere with any other party's use of the App.
  • Circumvent, disable, or otherwise interfere with any security, access control, or digital rights management features of any App.
  • Use any App in any manner that infringes, misappropriates, or otherwise violates any third party's intellectual property rights, privacy rights, or other legal rights.
  • Sublicense, lease, rent, loan, sell, or otherwise transfer any App or any rights therein to any third party.

Violation of any of these restrictions may result in the immediate termination of your licence and access to the App, without prejudice to any other rights or remedies available to MMG Labs.

8. Intellectual Property

All Content, designs, graphics, user interface elements, software code, algorithms, data structures, trademarks, service marks, trade names, logos, and other intellectual property contained within or associated with MMG Labs Apps are the exclusive property of MMG Labs Ltd or its licensors and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property and proprietary rights laws of England and Wales, the United Kingdom, and applicable international treaties.

No part of any App or its Content may be reproduced, distributed, modified, displayed, performed, published, transmitted, broadcast, or otherwise exploited in any manner without the prior written permission of MMG Labs Ltd. You are granted no right, title, or interest in any intellectual property of MMG Labs by virtue of using any App, except for the limited licence expressly granted in Section 3 of these Terms.

"MMG Labs" and all related names, logos, product and service names, designs, and slogans are trademarks of MMG Labs Ltd. You must not use such marks without the prior written permission of MMG Labs Ltd.

9. Disclaimer of Warranties

To the maximum extent permitted by applicable law, all Apps and Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise.

MMG Labs expressly disclaims all implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing, usage, or trade practice.

Without limiting the foregoing, MMG Labs makes no warranty or representation that:

  • Any App will meet your requirements or expectations, or be suitable for any particular purpose.
  • Any App will be uninterrupted, timely, secure, error-free, or free from viruses, malware, or other harmful components.
  • The results obtained from the use of any App will be accurate, reliable, or complete.
  • Any defects or errors in any App will be corrected within any particular timeframe or at all.
  • Any App will be available at all times or in all locations, or that access will not be interrupted by factors beyond the reasonable control of MMG Labs.

You acknowledge and agree that your use of any App is at your sole risk, and that you are solely responsible for any damage to your device or loss of data that may result from the use of any App.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall MMG Labs Ltd, its directors, officers, employees, agents, affiliates, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for loss of profits, revenue, goodwill, data, or other intangible losses, arising out of or in connection with:

  • Your access to, use of, or inability to use any App or Service.
  • Any conduct or content of any third party in connection with any App.
  • Any content obtained from or through any App.
  • Unauthorised access to, alteration of, or destruction of your data or transmissions.

This limitation applies regardless of the theory of liability, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, and regardless of whether MMG Labs has been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, the total aggregate liability of MMG Labs Ltd arising out of or in connection with these Terms or your use of any App shall not exceed the total amount you have actually paid to MMG Labs for the applicable App or Subscription in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms shall exclude or limit MMG Labs' liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

11. Indemnification

You agree to defend, indemnify, and hold harmless MMG Labs Ltd, its directors, officers, employees, agents, affiliates, and licensors from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and disbursements) arising out of or in connection with:

  • Your use of or access to any App or Service.
  • Your breach of any provision of these Terms.
  • Your violation of any applicable law, regulation, or third-party right, including any intellectual property, privacy, or proprietary right.
  • Any content or data you submit, post, or transmit through any App.
  • Any claim that your use of any App has caused damage to a third party.

This indemnification obligation shall survive the termination of these Terms and your use of any App.

12. Termination

MMG Labs may, at its sole discretion, suspend or terminate your access to any App or Service, and terminate your licence granted under these Terms, at any time and without prior notice if you breach any provision of these Terms, or if MMG Labs reasonably believes that your conduct may cause harm to MMG Labs, other users, or third parties.

You may terminate your use of any App at any time by deleting the App from your devices. If you hold an active Subscription, you must also cancel the Subscription through your Apple ID Account Settings to prevent further charges, as deletion of the App alone does not cancel a Subscription.

Upon termination, your licence to use the App shall immediately cease, and you must destroy all copies of the App in your possession or control. Termination shall not affect any rights, obligations, or liabilities that have accrued prior to the date of termination, including any obligation to pay outstanding fees. Sections 8, 9, 10, 11, 15, and 16 of these Terms shall survive termination.

13. Changes to These Terms

MMG Labs reserves the right to modify, amend, or replace these Terms at any time and at its sole discretion. When we make changes, we will post the revised Terms on this page and update the "Last updated" date at the top of this document.

It is your responsibility to review these Terms periodically for any changes. Your continued use of any App after the posting of revised Terms constitutes your acceptance of and agreement to the modified Terms. If you do not agree to the revised Terms, you must discontinue your use of the App and delete it from your devices.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity, illegality, or unenforceability of any individual provision shall not affect the validity or enforceability of the remaining provisions of these Terms, which shall continue in full force and effect.

15. Governing Law and Jurisdiction

These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation, shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims). You irrevocably submit to the exclusive jurisdiction of those courts.

16. Apple App Store: Auto-Renewable Subscription Terms

In accordance with the requirements of Apple's Licensed Application End User Licence Agreement (Schedule 2, Section 3.8(b)), the following terms apply to all auto-renewable Subscriptions offered through MMG Labs Apps:

  1. Title and description: The title and description of each auto-renewing Subscription option are displayed within the App at the point of purchase, and on the App's product page on the Apple App Store.
  2. Length of Subscription: The length of each Subscription period (weekly, monthly, or annual) is clearly stated at the point of purchase within the App.
  3. Price of Subscription: The price of each Subscription, and the price per unit if appropriate, is clearly displayed at the point of purchase within the App, in your local currency as determined by the App Store.
  4. Payment: Payment will be charged to your iTunes Account at confirmation of purchase.
  5. Auto-renewal: Your Subscription automatically renews unless auto-renewal is turned off at least 24 hours before the end of the current billing period.
  6. Renewal charge: Your account will be charged for renewal within 24 hours prior to the end of the current billing period, at the applicable Subscription price.
  7. Managing Subscriptions: Subscriptions may be managed by you, and auto-renewal may be turned off, by going to your Account Settings after purchase.

  9. Free trial forfeiture: Any unused portion of a free trial period, if offered, will be forfeited when you purchase a Subscription to that App.
